About AG&T

AG&T is a Caribbean real estate advisory practice. We provide capital advisory, development services, and selectively participate as a principal in developments aligned with our thesis. AG&T is not a registered broker-dealer with the SEC or FINRA, and is not a registered investment adviser.

Our work

Most AG&T engagements involve advisory services on real estate transactions, including diagnostic work, market studies, owner’s representation, master planning, capital structuring advice, and asset disposition advisory. Real estate transactions in which the underlying asset is real property are generally not securities transactions.

When securities are involved

Certain transactions, particularly equity raises for development partnerships, involve interests that are securities under federal law. When AG&T engages on transactions involving securities, the work is structured to operate within applicable exemptions, in collaboration with registered broker-dealers, or as principal participation. Specific transaction structures are governed by the engagement documentation.

Specific transactions are governed by engagement letters and, when applicable, offering documentation prepared by the issuer and reviewed by counsel.

Compensation

AG&T’s advisory engagements are structured around defined fees and, where applicable, success fees on closing of real estate transactions. Compensation tied to the sale of securities, where applicable, is handled through registered parties or within applicable exemptions. Specific compensation structures are documented in each engagement letter.

Jurisdiction

AG&T’s practice is focused on the Caribbean and Latin America. We do not solicit or accept engagements in jurisdictions where doing so would require registrations or licenses we do not hold.
